ExReviews.com (“ExReviews,” “we” or “us”) owns and operates the Site, a web site that allows individuals to search for, rate and post reviews regarding former love interests (“Reviews”).

This Terms of Use Agreement (“Agreement”) governs your use of the Site. You agree to abide by this Agreement, and any additional terms that govern certain registrations, products or services that may be offered by us via the Site (“Additional Terms”). To the extent there is a conflict between this Agreement and any Additional Terms, the Additional Terms will control unless the Additional Terms expressly state that this Agreement will control. In cases where there are no Additional Terms stated for any such registrations, products or services, this Agreement will control.

ExReviews reserves the right, at any time and from time to time, for any reason in our sole discretion and without prior notice or liability, to modify and/or update the Agreement. Once the revised Agreement is posted, it becomes effective immediately. Your use of the Site after the revised Agreement becomes effective will signify your agreement to be bound by the revised Agreement. Therefore, we encourage you to periodically check this Agreement and its effective date.

Registered Users and Accounts:  Visitors will have the opportunity to register with us and become a Registered User (“Registered User”). Visitors will be asked to create a Registered User account (“Account”) with a unique username and password.   Registered Users can post Reviews and add comments to existing Reviews.  Visitors may search the Site database to determine whether a Review exists for an individual. Visitors cannot view Reviews or access certain of the Site's features and functionality without first becoming a Registered User.
By becoming a Registered User, you agree to accept responsibility for all activities that occur through your Account and agree that you will not sell, transfer or assign your Account to any third party. Registered Users are responsible for maintaining the confidentiality of their username and password and agree to immediately notify ExReviews if they become aware of or believe there is or may have been any unauthorized use of their Account.  When you become a Registered User, you agree to provide true, current and complete information about yourself, and to maintain and update your information promptly.  You agree that if any information you provide, or if we have reasonable grounds to suspect that any information you provide, is false, inaccurate, or incomplete, we may terminate your Account. 
Site Conduct policy:  Your use of the Site may only be for lawful purposes and you agree that you shall at all times comply with all local, state, national, and international laws, statutes, rules, regulations, ordinances and the like applicable to your use of the Site.  In addition, while using the Site, you agree that you will not do any of the following:

  • Illegal Content: Upload, send, post, transmit or submit (collectively, "Submit") to the Site any content, including any Review, that is or may be: (i) harmful, threatening, abusive, harassing, degrading, hateful, or intimidating; (ii) defamatory, libelous, or disparaging of any person or entity; (iii) misleading, false, fraudulent, or tortious; (iv) obscene, indecent, pornographic, vulgar, profane, or sexually explicit; (v) intended to promote (or have the effect of promoting) violence, racial hatred, terrorism or illegal acts; (vi) infringing, or in violation or misappropriation of, any patent, trademark, trade identity right, trade secret, publicity right, privacy right, copyright or any other intellectual property or any other rights of any third party; (vii) in violation of any other rights of any person or entity; (viii) in violation of any law or regulation; or (ix) otherwise objectionable, in our sole discretion; 
  • viruses: Submit any virus, worm, “Trojan Horse,” “easter egg,” “time bomb,” spyware, or any other computer code, file, or program that may or is intended to damage, hijack or otherwise interfere with the operation of the Site or any hardware, software, or telecommunications equipment or with any third party's uninterrupted use and enjoyment of the Site;
  • solicitation: Submit any advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” investment opportunities, or any other form of solicitation; 
  • Stalk: Collect, transmit or harvest personally identifiable information about other Visitors or Registered Users of the Site or “stalk” or otherwise harass other persons;
  • impersonation: Impersonate any person or entity; falsely state or otherwise misrepresent your affiliation with any person or entity, including ExReviews; forge headers or otherwise manipulate identifiers in order to disguise the origin of any submissions to us or through the Site; or expressly state or imply that we endorse any statement you make;
  • hacking: Violate or attempt to violate the security of any portion of the Site, including but not limited to: (i) access content not intended for you; (ii) log into a server or Account which you are not authorized to access; (iii) attempt to probe, scan, or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization; (iv) attempt to interfere with or disrupt the Site or the servers or networks that support the Site, including, without limitation, via means of submitting a virus to the Site or overloading, “flooding,” “mailbombing” or “crashing” the Site; (v) restrict or inhibit any other user from accessing or using the Site, including, without limitation, by means of hacking or defacing any portion of the Site; or (vi) reverse engineer, decompile or disassemble any portion of the Site. 
  • data mining: Except for search engines presenting links to users searching for ExReviews or related content, use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, "data mine," scrape, or in any way reproduce or circumvent the navigational structure or presentation of the Site, unless otherwise permitted by ExReviews in writing in advance;
  • unauthorized business purposes: Use the Site for unauthorized commercial or business purposes without our prior written permission, including, without limitation, advertising, marketing, or offering goods or services, whether or not for financial or any other form of compensation, or through linking with or artificially generating traffic to any other web site or web page; and
  • harm reputation: Use the Site in any way that would adversely affect ExReviews or reflect negatively on ExReviews or the ExReviews goodwill, name or reputation.

ExReviews reserves the right to monitor the Site for conduct in violation of this Agreement. However, ExReviews specifically disclaims all responsibility or liability for its acts or omissions in doing so.
Disputes with Others:  You are solely responsible for your interaction with others that you come in contact with through the Site.  However, we reserve the right, but have no obligation, to monitor and/or manage disputes between you and other Visitors or Registered Users of the Site.  If you have a dispute with other Visitors or Registered Users, you release ExReviews and our subsidiaries and affiliates and their respective officers, directors, employees, agents, and other representatives (collectively, the “ExReview Parties”) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such dispute.  
Ownership of Intellectual Property:  The Site and all of the information it contains, or may contain in the future, such as articles, opinions, other text, directories, guides, photographs, graphic material, artwork, illustrations, digital still images, digital video and audio clips, databases, compilations and advertising copy, as well as the trademarks, logos, domain names, trade names, service marks and any and all copyrightable material (including source and object code) and/or any other form of intellectual property on the Site (collectively, the “Site Content”) is owned by ExReviews or its licensors and is protected from unauthorized use, copying and dissemination by copyright, trademark, publicity and other laws and by international treaties.
Subject to your strict compliance with this Agreement, ExReviews grants you a limited, non-exclusive, non-commercial, revocable, non-assignable and non-transferable license to download, view, use or play a single copy of the Site Content (excluding source and object code) for your personal use only and as long as it is publicly available on the Site, provided that you: (i) retain all trademark, copyright and other proprietary notices contained in the original Site Content or any copy you may make of the Site Content; (ii) do not yourself and do not allow or aid or abet any third party (whether or not for your benefit) to copy or adapt the object code of the Site software, HTML, JavaScript or other code; or reverse engineer, decompile, reverse assemble, modify or attempt to discover any source code that the Site creates to generate its web pages or any software or other products or processes accessible through the Site; and (iii) do not insert any code or product to manipulate the Site Content or the Site in any way.
Other than as explicitly set forth in this Agreement, nothing contained in this Agreement or on the Site or in any communication from the Site should or will be construed as granting, by implication, estoppel or otherwise, any license or right to use any Site Content, including Submissions, in any manner without the prior written consent of ExReviews or such third party that may own the Site Content (or Submissions) displayed on the Site. ANY UNAUTHORIZED USE OF ANY OF THE SITE CONTENT, INCLUDING SUBMISSIONS, IS STRICTLY PROHIBITED.

Submissions Policy:  The Site may offer message boards, forums or other interactive features ("User Forums") to give Registered Users places to share Reviews, content and opinions (collectively, "Submissions").  You must be a Registered User to participate in User Forums. Whenever you Submit a Submission to a User Forum or to ExReviews (including by e-mail), you (i) grant to ExReviews and its affiliates an irrevocable worldwide, nonexclusive, perpetual, fully sub-licensable and assignable, royalty-free right and license to use, exploit, reproduce, modify, adapt, translate, incorporate in other works, and otherwise create derivative works from, publish, distribute, transmit, broadcast, perform, display, and otherwise exercise all rights in and to such Submission (including the right to use or not use your name, voice, likeness and other identifying information in connection therewith), including without limitation, the right to use the Submission  in advertising and marketing materials or otherwise exploit it for profit via the Site  or otherwise, in any form, media, or technology now known or later developed, without any compensation to you, and (ii) consent to all relevant acts or omissions in relation to your moral rights in such Submission (if any) which may or might otherwise constitute a breach or infringement of those moral rights, and to the extent permitted by law waive all your moral rights in such Submission, even if such material is altered or changed in a manner not agreeable to you.

We do not have, and do not undertake, any obligation to prescreen, monitor, censor, edit, or remove any Submission that a Registered User posts on any User Forum.   However, we retain the right (but not the obligation), in our sole discretion and for any reason, to prescreen, monitor, edit, refuse to accept, remove, or move any Submission submitted by any Registered User to a User Forum.  Since we may not pre-screen Submissions, if your Submission contains offensive, indecent, illegal or otherwise objectionable content, you may bear legal responsibility for others’ exposure to such objectionable content.   We are not responsible for, and we do not endorse, the Submissions posted in User Forums.  We specifically disclaim any responsibility or liability to any person or entity for any loss, damage, injury, claim, liability or other cause of any kind or character based upon or resulting from any Submission.  Except as otherwise specifically described in our Privacy Policy, any Submission that you Submit to a User Forum or some other aspect of the Site or directly to us will be treated as non-confidential and non-proprietary.  You acknowledge and agree that your relationship with ExReviews is not a confidential, fiduciary, or other type of special relationship, and that your decision to Submit any Submission to a User Forum, or otherwise send it to the Site, share it with another Registered User or send it to ExReviews directly does not place ExReviews in a position that is any different from the position held by Registered Users of the general public with regard to your Submissions.  None of your Submissions shall be subject to any obligation of confidence on the part of ExReviews, and ExReviews shall not be liable for any use or disclosure of any Submission that you provide.   You are solely responsible for all Submissions that you Submit to us either through a User Forum or other part of the Site.  You represent and warrant that anything you Submit conforms to the "Site Conduct Policy" set forth above.

Notice and Procedure for Making Complaints Regarding Intellectual Property Rights:  We respect the intellectual property of others and we required that our Visitors and Registered Users do the same. ExReviews has a policy of terminating the access of Visitors and Registered Users, in our reasonable discretion, who infringe the rights of others.  
In accordance with the Digital Millennium Copyright Act, ExReviews has designated a Copyright Agent to receive notice of claims of copyright infringement with respect to content on the Site. To notify us of content on the Site that you believe infringes your rights or the rights of others, please provide the following information to the ExReviews Copyright Agent listed below:

    1. Your name, address, telephone number, and e-mail address;
    2. A description of the copyrighted work that you claim has been infringed or, if multiple copyrighted works on the Site are covered by a single notification, a representative list of such works on the Site;
    3. Identification of the material claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit ExReviews to locate the material, such as the URL or a reasonable description of where the alleged infringing material is located on the Site;
    4. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
    5. A statement by you, made under penalty of perjury, that the information in the notification is accurate, and that you are the copyright owner or authorized to act on the copyright owner's behalf; and
    6. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest.

Contests, Sweepstakes, Auctions:  From time to time, ExReviews may conduct giveaways, contests, sweepstakes, auctions, and other promotions (collectively, “Promotions”) through the Site. Each Promotion may have additional terms and/or rules of participation (“Rules”), which will be posted or otherwise made available to you and, for purposes of each Promotion, will be deemed incorporated into and form a part of this Agreement. It is your responsibility to read the Rules to determine whether or not your participation, registration, or entry will be valid or restricted, and to determine your participation requirements.

Third Party Advertisers:  Third party advertisers (“Advertisers”) may offer goods, services and other materials to you on the Site. Your correspondence and business dealings with Advertisers found on or through the Site including, but not limited to, the payment and delivery of goods and services, and any terms, conditions, warranties and representations associated with such dealings, are solely between you and the Advertiser. Descriptions of, or references to, products or publications within the Site do not imply endorsement of that product or publication. ExReviews will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or the offering of such goods, services and other materials on the Site. Please review carefully the third party’s policies and practices before you engage in any business dealings with the third party. Any complaints, concerns or questions you may have relating to materials provided by third parties should be forwarded directly to the third party.

Linking To The Site:  You must adhere to the following requirements when linking your web site to this Site: (i) your web site must not create the false appearance that it is sponsored by, endorsed by or associated with ExReviews; (ii) the link to the Site must not damage, dilute or tarnish the goodwill associated with ExReviews and/or intellectual property; (iii) you may not "frame" the Site or alter the Site Content in any way; and (iv) you may not link to the Site from a web site that is indecent or obscene, unlawful, abusive, promotes violence or illegal acts, is libelous, defamatory, scandalous, or inflammatory or is otherwise deemed inappropriate, as determined by ExReviews in its sole discretion.  We reserve the right, in our sole discretion, to terminate a link with any web site we deem inappropriate or inconsistent with the Site, this Agreement or otherwise.

Fees and Payments:  We reserve the right, in our sole discretion, at any time to charge for use of the Site, in whole or part, including, without limitation, to access Accounts, Submissions and Site Content, and to change our fees from time to time in our discretion.  All fees and other charges shall be billed to and paid for by you when you agree to such payment terms and you agree to pay all applicable taxes.

Disclaimer of Warranties:  THE SITE (INCLUDING, WITHOUT LIMITATION, ALL SITE CONTENT, LINKS, MESSAGES, PRODUCTS, SERVICES, DOWNLOADS AND OTHER MATERIALS CONTAINED ON AND/OR OBTAINED THROUGH THE SITE) ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, “WITH ALL FAULTS” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE EXREVIEWS PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND UNDERTAKINGS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

Error-Free: WITHOUT LIMITING THE FOREGOING, THE EXREVIEWS PARTIES DO NOT WARRANT THAT THE SITE WILL BE AVAILABLE; THAT YOUR USE OF THE SITE WILL BE TIMELY, UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SITE (OR THE SERVER THAT MAKES IT AVAILABLE) IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ACKNOWLEDGE THAT YOU ARE RESPONSIBLE FOR OBTAINING AND MAINTAINING ALL INTERNET CONNECTIONS, HARDWARE AND SOFTWARE NEEDED TO ACCESS AND USE THE SITE, AND FOR PAYING ALL CHARGES RELATED THERETO. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE AND YOUR RELIANCE THEREON. NO OPINION, ADVICE, OR STATEMENT OF ANY EXREVIEWS PARTY, WHETHER MADE ON THE SITE, OR OTHERWISE, SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED HEREIN.

Lawful Use: FURTHER, THE EXREVIEWS PARTIES DO NOT WARRANT THAT YOUR ACTIVITIES OR USE OF THE SITE IS LAWFUL IN ANY PARTICULAR JURISDICTION AND, IN ANY EVENT, THE EXREVIEWS PARTIES SPECIFICALLY DISCLAIM SUCH WARRANTIES. YOU UNDERSTAND THAT BY USING ANY OF THE FEATURES OF THE SITE, YOU ACT AT YOUR OWN RISK, AND YOU REPRESENT AND WARRANT THAT YOUR ACTIVITIES ARE LAWFUL IN THE JURISDICTION WHERE YOU ACCESS OR USE THE SITE.

Advice:  NO STATEMENT, OPINION OR ADVICE OF ANY OF THE EXREVIEW PARTIERS, WHETHER MADE ON THE SITE OR OTHERWISE, SHALL CREATE A WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Exclusions: APPLICABLE LAW MAY NOT ALLOW THE EXCLUSION OF IMPLIED OR OTHER WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT SUCH JURISDICTION’S LAW APPLIES TO THIS AGREEMENT.

Limitation Of Liability:  TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, IN NO EVENT SHALL THE EXREVIEWS PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, ECONOMIC, EXEMPLARY OR OTHER DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH OR RELATING TO YOUR USE OF THE SITE OR WITH THE DELAY OR INABILITY TO USE THE SITE, OR FOR ANY INFORMATION, SITE CONTENT, PRODUCTS, AND/OR SERVICES OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, EVEN IF THE EXREVIEWS PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. 

Damage: WITHOUT LIMITING THE FOREGOING, THE EXREVIEWS PARTIES ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER HARDWARE, COMPUTER SOFTWARE, OR OTHER EQUIPMENT OR TECHNOLOGY INCLUDING, WITHOUT LIMITATION, DAMAGE FROM ANY SECURITY BREACH OR FROM ANY VIRUS, BUGS, TAMPERING, FRAUD, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER LINE OR NETWORK FAILURE OR ANY OTHER TECHNICAL OR OTHER MALFUNCTION.

Discontinue Access: YOUR ACCESS TO AND USE OF THE SITE IS AT YOUR RISK. IF YOU ARE DISSATISFIED WITH THE SITE OR ANY OF THE SITE CONTENT, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE ACCESSING AND USING THE SITE OR THE SITE CONTENT.

No Injunctive Relief: YOU RECOGNIZE AND CONFIRM THAT IN THE EVENT YOU INCUR ANY DAMAGES, LOSSES OR INJURIES THAT ARISE OUT OF OUR ACTS OR OMISSIONS, THE DAMAGES, IF ANY, CAUSED TO YOU ARE NOT IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION PREVENTING ANY EXPLOITATION OF ANY SITE, OR ANY OTHER EQUITABLE REMEDY, AND YOU WILL HAVE NO RIGHTS TO ENJOIN OR RESTRAIN THE DISTRIBUTION, ADVERTISING, EXHIBITION OR EXPLOITATION OF THE SITE OR ANY AND ALL ACTIVITIES OR ACTIONS RELATED THERETO.

Monetary Damages: NOTWITHSTANDING ANY OTHER PROVISION IN THIS AGREEMENT, IN NO EVENT AND UNDER NO CIRCUMSTANCES WILL THE EXREVIEWS PARTIES BE LIABLE TO YOU FOR ANY REASON OR ANY CAUSE OF ACTION WHATSOEVER IN AN AMOUNT GREATER THAN TEN DOLLARS ($10). SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF SOME TYPES OF DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

Unknown Claims: BY ACCESSING THE SITE, YOU UNDERSTAND THAT YOU MAY BE WAIVING RIGHTS WITH RESPECT TO CLAIMS THAT ARE AT THIS TIME UNKNOWN OR UNSUSPECTED, AND IN ACCORDANCE WITH SUCH WAIVER, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND, AND HEREBY EXPRESSLY WAIVE, THE BENEFITS OF SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA, AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.”

Indemnification:  You agree to indemnify, defend, and hold the ExReview Parties harmless from and against any and all claims, actions, losses, expenses, damages, and costs (including reasonable attorneys' fees), resulting from: (i) your use of the Site; (ii) any breach or violation of this Agreement or any law, rule, or regulation; (iii) your Submissions; or (iv) the theft, misappropriation  or disclosure of your username or password.
We reserve the right to assume, at our sole expense, the exclusive defense and control of any such claim or action and all negotiations for settlement or compromise, and you agree to fully cooperate with us in the defense of any such claim, action, settlement, or compromise negotiations, as requested by us.  In no event will you settle any claim or action without our prior written approval.

Applicable Law and Jurisdiction:  This Agreement and the interpretation of this Agreement will be governed by and construed under the laws of the State of Illinois without regard to conflict of law principles. You agree and submit to the exclusive and mandatory jurisdiction and venue of the State and Federal Courts situated in Cook County, Illinois and agree you will not object to such jurisdiction or venue on the grounds of lack of personal jurisdiction, forum non conveniens, or otherwise. Any cause of action or claim arising out of this Agreement or your use of the Site, regardless of form or the basis of the claim, must be brought within one (1) year after the cause of action arose or, if multiple causes, from the date the first such cause of action arose.

Site Location:  ExReviews controls and operates the Site from offices located in the United States and makes no representations or warranties that the information, products or services contained on the Site are appropriate for use or access in other locations. Anyone using or accessing the Site from other locations does so on their own initiative and are responsible for compliance with United States laws, if and to the extent applicable. ExReviews reserves the right to limit the availability of the Site and/or the provision of any content, program, product, service or other feature described or available thereon to any person, geographic area, or jurisdiction, at any time and in its sole discretion, and to limit the quantities of any such content, program, product, service or other feature that we provide.

Withdrawal and Termination:  ExReviews reserves the exclusive right to modify, withdraw, suspend or discontinue, temporarily or permanently, at any time and from time to time any materials, information or content available on the Site, including but not limited to Submissions, Site Content and Accounts, and any functionality or features in or on the Site, in each case in whole or in part, including the cessation of all activities associated with the Site, with or without notice.  You agree that ExReviews shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Site or any part thereof.   ExReviews also reserves the right to use any technological, legal, or other means available to enforce the terms of this Agreement, including without limitation, blocking specific IP addresses or access to the Site using your e-mail address, username or password.  Any fees owed by you to ExReviews becomes due immediately upon termination by either you or ExReviews.

Entire Agreement:  This Agreement constitutes the entire understanding and agreement between you and ExReviews and supersedes any and all prior or inconsistent understandings relating to the Site and your use of the Site and services provided by the Site.

No Waiver: Any failure of ExReviews to exercise or enforce any right or provision of this Agreement will not constitute a waiver of such right or provision. No waiver by ExReviews of any provision of this Agreement will be of any force or effect unless made in writing and signed by a duly authorized officer of ExReviews.

Severability:  If any provision of this Agreement is held to be illegal, invalid, or unenforceable, then the provision will be deemed severable from the Agreement and will not affect the validity and enforceability of any remaining provisions. The section titles in this Agreement are inserted only as a matter of convenience and have no legal or contractual effect. You agree that these terms will not be construed against ExReviews by virtue of having drafted them.

No Agency: No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement. Except as otherwise expressly provided in this Agreement, there will be no third-party beneficiaries to this Agreement.

Access: You understand and agree that ExReviews will determine your compliance with this Agreement in its sole discretion. ExReviews reserves the right to deny access to all or part of the Site and to deny access to any person in its sole discretion without notice or liability of any kind. ExReviews reserves the right to charge a fee to create or otherwise access your Account or any Site Content or other features offered by the Site.  Any violation of this Agreement may be referred to law enforcement authorities.
